Terms of Service
Effective Date: August 22, 2026. These Terms govern your relationship with Upvista, defining our operational commitments and legal framework.
1. Agreement & Acceptance
By accessing, browsing, or utilizing the web properties, software environments, or professional services offered by Upvista (hereinafter referred to as "Upvista", "we", "our", or "us"), you acknowledge that you have read, understood, and agreed to be legally bound by these Terms of Service (these "Terms").
If you represent an enterprise or other legal entity, you represent and warrant that you possess the necessary organizational authority to bind such entity to these Terms. If you do not agree to these Terms, you must cease all utilization of our systems, resources, and services immediately.
2. Services & Engagements
Upvista specializes in high-fidelity engineering systems, including:
- Enterprise-grade AI models, autonomous agentic frameworks, and predictive intelligence infrastructure.
- Advanced cybersecurity threat modeling, digital asset audit, vulnerability mapping, and penetration testing.
- Custom application design, architecture consulting, and high-performance system integration.
Specific deliverables, timelines, pricing structures, and implementation methodologies for professional engagements will be explicitly defined in custom-tailored Statements of Work (SOW) or Master Services Agreements (MSA) signed by authorized representatives of both parties.
3. Intellectual Property
All proprietary algorithms, platform architecture designs, methodologies, research papers (including but not limited to Project Cortex resources), software scripts, visual interfaces, logos, and digital branding assets displayed on our website are the exclusive intellectual property of Upvista and are protected under international copyright, trademark, and trade secret provisions.
Unless explicitly provided in a written agreement signed by Upvista, no license, ownership transfer, or assignment of intellectual property rights is granted or implied by your use of our platforms or engagement with our consulting systems.
4. Confidentiality & Security
During the course of any commercial engagement, both parties may share trade secrets, technical system configurations, architectural blueprints, or client-identifiable data. Both parties agree to protect all such confidential information with a degree of care equal to or greater than the standard industry practices.
Upvista implements strict Zero-Trust access parameters, encrypted communication pipelines, and secure staging environments to isolate and protect client source code, database access credentials, and operational assets under our control.
5. Fees & Commercial Terms
Fees for Upvista's custom engineering integrations, security audits, and deployment consulting will be detailed in the respective billing covenants of your SOW. All invoices are payable within the net terms defined therein.
Unless otherwise defined, all transactions are processed in USD, and fees are exclusive of any applicable local, state, or federal transactional taxes, which remain the sole responsibility of the customer.
6. Limitation of Liability
Under no circumstances shall Upvista, its affiliates, directors, or employees be held liable for any indirect, incidental, special, consequential, or punitive damages—including but not limited to loss of revenue, loss of business continuity, database corruption, or system downtime—arising out of or in connection with the utilization or failure of our software platforms, AI systems, or recommendations from our security audits.
We provide security recommendations in accordance with standard industry practices. However, threat landscapes are dynamic, and zero-day vulnerabilities may exist. Upvista does not warrant that any security audit, network hardening, or penetration test will render your systems completely impervious to all security attacks.
7. Prohibited Uses
Users of our platforms, digital resources, and software APIs are strictly prohibited from:
- Executing unauthorized vulnerability scans, denial of service attacks, or probing networks belonging to Upvista or its clients.
- Utilizing our AI technologies or agentic code bases to build or deploy malicious payloads, phishing networks, or deceptive automated schemes.
- Reverse-engineering, decompiling, or attempting to discover the underlying source code of our proprietary modules and models.
8. Dispute Resolution & Law
These Terms, and all disputes, claims, or controversies arising out of or relating to them, shall be governed by and construed in accordance with the substantive laws of Pakistan, without giving effect to any choice of law rules.
Any dispute, controversy, or claim arising out of or relating to this contract, including its formation or validity, shall be settled amicably in the first instance. Failing amicable settlement, the dispute shall be referred to and finally resolved by binding arbitration in accordance with standard arbitration provisions.
9. General & Amendments
We reserve the right to modify, amend, or rewrite these Terms of Service at any time. Any changes will be announced on this page with an updated effective date. Continued engagement with our services or access to our web assets constitutes agreement to the updated Terms.
If any provision of these Terms is deemed invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
