1. Acceptance of Terms
By purchasing any service or package from UpVista Studio (“Company,” “we,” “our,” or “us”), you (“Client,” “Customer,” or “User”) agree to be bound by these Terms and Conditions (“Agreement” or “Terms”). These Terms govern your access to and use of our services, including but not limited to branding, website design, SEO setup, and digital content delivered through www.upvista.co or through third-party platforms (e.g., Stripe, Tally).
If you do not agree to these Terms, you must not use our services.
2. Services and Scope
UpVista provides pre-defined service packages and custom solutions in areas such as brand identity, web development (including but not limited to Webflow websites), Google My Business setup, SEO asset creation, and related digital consulting.
Details of services included in each package are listed on our website or intake forms and are subject to change without prior notice.
We reserve the right to decline any project that, in our sole discretion, is incompatible with our capacity, availability, or values.
3. Client Responsibilities
Client agrees to:
- Provide all required assets (e.g., business information, content, images, logos) in a timely and complete manner.
- Respond to revision requests or feedback communications within 3 business days.
- Grant the Company any necessary permissions to access tools/platforms for service execution (e.g., Google Business Profile access).
- Accept that delays in client responses or incomplete submissions may result in timeline extensions without liability to UpVista.
4. Payment and Fees
All fees are due in full at the time of purchase unless otherwise stated. We accept payments through Stripe, and by completing a payment, you authorize us to charge your payment method for the full agreed amount.
Prices are listed in U.S. Dollars and are exclusive of applicable taxes unless stated otherwise.
If a payment fails or is reversed, service delivery will be paused until the balance is resolved. We reserve the right to recover costs for any chargebacks or disputes initiated without proper cause.
5. Delivery and Turnaround Times
Turnaround times are estimates and begin only after all required client information has been submitted.
Delays caused by:
- Client inaction,
- Incomplete submissions,
- Third-party outages, or
- Force majeure events (e.g., natural disasters, internet outages)
...shall not constitute a breach of contract or grounds for refund.
Deliverables are sent via email, shared links, or embedded dashboards/forms, depending on the service.
6. Revisions and Approvals
Each service package includes a fixed number of revisions, clearly stated in the service description. Revisions must be requested within 5 business days of delivery unless stated otherwise.
Revisions beyond the included limit may be billed at an additional hourly or flat rate, as determined by the Company.
Failure to request revisions within the revision window will be considered approval of the deliverable.
7. Refund Policy
All purchases are final. Due to the digital, customized nature of our services, we do not offer refunds once work has begun.
Refunds may be considered only if:
- No work has been started; AND
- A written refund request is submitted within 24 hours of the transaction.
After that period, you waive any right to a refund, whether in full or in part.
Chargebacks or payment disputes initiated without contacting us first to resolve the issue in good faith may result in immediate termination of services and forfeiture of rights to any work delivered.
8. Intellectual Property and Licensing
Upon final approval and full payment, the Client is granted a non-exclusive, royalty-free license to use the final deliverables for commercial purposes.
UpVista retains the right to showcase final work in portfolios, marketing materials, or social media, unless otherwise agreed upon in writing.
Raw files, drafts, or unused concepts remain the intellectual property of UpVista unless explicitly transferred in writing.
9. Confidentiality
All proprietary or sensitive business information submitted by the Client will be treated as confidential and will not be shared, sold, or distributed except as required to deliver the services purchased or by law.
Client agrees not to disclose UpVista’s proprietary processes, internal documentation, or tools used to fulfill services.
10. Limitation of Liability
To the maximum extent permitted by law, UpVista shall not be liable for:
- Any indirect, incidental, or consequential damages,
- Loss of income or business opportunity,
- Claims arising from third-party platforms used in connection with services (e.g., Stripe, Google, Webflow),
- Errors in information provided by the Client.
Our total liability shall not exceed the amount paid by the Client for the service in question.
11. Dispute Resolution
In the event of a disagreement or dispute, both parties agree to attempt resolution via good-faith communication before pursuing legal action or initiating a chargeback.
Disputes that cannot be resolved informally will be subject to binding arbitration under the rules of the American Arbitration Association (AAA). The arbitration shall take place in the State of California, unless otherwise mutually agreed.
Each party shall bear its own legal fees and costs unless the arbitrator determines otherwise.
12. Modifications
We reserve the right to update these Terms at any time. The latest version will be published at www.upvista.co/terms and the “Last Updated” date will reflect the current version.
Continued use of our services after changes are made constitutes your acceptance of the new Terms.
13. Governing Law
These Terms and all matters arising from or relating to them shall be governed by and construed under the laws of the State of California, without regard to its conflict of laws rules.
